Terms of Service

1.1 OneWorld AI IP: means the Services, Documentation, and all other technology, including software, products, processes and algorithms, data, know-how and trade secrets provided by or on behalf of OneWorld AI. For the avoidance of doubt, OneWorld AI IP does not include Customer Data.

1.2 Customer Data: means (i) information, data, Inputs, and other content submitted or transmitted by you or your Authorized Users through the Services, including AI coding sessions uploaded from computers you connect and data received from services you connect; and (ii) data generated and made available to you by the Services, including Outputs. Customer Data expressly excludes Usage Data.

1.3 Input: means the prompts and inputs provided by you or your Authorized Users to the Services.

1.4 Output: means the outputs generated and returned by the Services based on the Inputs, including generated code, specifications, reports and the actions an agent takes.

1.5 Usage Data: means the anonymized and aggregated data regarding the manner in which you or your Authorized Users interact with the Services.

1.6 Authorized User: means your employees, consultants, and agents who are expressly authorized by you to access and use the Services, and, for assessments, the participants you invite.

You must be at least 18 years old to use the Services. Course assessments are offered only to colleges and universities, not to primary or secondary schools. You must provide accurate account information, keep your sign-in credentials secure, and tell us promptly about any unauthorized use of your account. You are responsible for all activity under your account and by your Authorized Users. If you join an organization, its administrators can manage your access, change settings that apply to you, and may be able to access your Customer Data in that organization.

3.1 Rights Granted: Subject to your compliance with this Agreement, OneWorld AI hereby grants you a non-exclusive, non-sublicensable, non-transferable right to access and use the Services for your internal business purposes only.

3.2 Restrictions: You may not use the Services for any purposes beyond the scope of the access granted. You may not reverse engineer, decompile, or use the Services to create or develop any competing products or services, including to train competing artificial intelligence models, except as expressly approved by OneWorld AI in writing.

3.3 Acceptable Use: You may not use the Services to break the law or infringe others' rights; to develop or distribute malware or attack any system; to access systems, repositories or data you are not authorized to access; to interfere with, overload or circumvent limits of the Services; or to violate the usage policies of the AI model providers whose models the Services use.

3.4 Software: Our desktop app and command-line tool may update automatically. Open-source components are licensed under their own terms.

4.1 Ownership: As between you and OneWorld AI, you own all right, title, and interest in and to Customer Data, including Outputs to the fullest extent permitted by applicable law.

4.2 License: You grant OneWorld AI a non-exclusive, worldwide, royalty-free license to reproduce, distribute, modify, and otherwise use the Customer Data as necessary for OneWorld AI to provide the Services to you, including to make it available to the people and connected services you or your organization share it with.

4.3 Your responsibilities: You are responsible for your Customer Data and for having the rights and consents needed to submit it, including personal data in the sessions you upload, in the repositories and services you connect, and of the participants you invite to an assessment. You must comply with applicable data protection laws when you use the Services to process personal data.

4.4 Agents: Agents run on your computer or in cloud sandboxes operated by our service providers, and can read and change code, run commands, access the internet, and act in repositories and other services you connect, using the access you grant. You are responsible for the access you grant and for the actions agents take on your behalf.

4.5 Accuracy of Outputs: Outputs are generated by AI models and may be inaccurate, incomplete, insecure, or similar to outputs provided to others. You must review Outputs, including code and agent actions, before relying on or deploying them.

Any Customer Data that you submit will not be used for model training purposes unless you opt in to allow OneWorld AI to use such Customer Data to improve and enhance the Services. OneWorld AI reserves the right to collect, analyze, and utilize Usage Data for operational, analytical, and improvement purposes. Our handling of personal information is described in our Privacy Policy.

The Services work with services we do not control, including GitHub, GitLab, Slack, Lark, Canvas and AI model providers. When you connect one, you authorize us to exchange data with it on your behalf, and your use of it is governed by its own terms. We are not responsible for third-party services, and their availability or features may change.

You are responsible for paying any applicable fees to access or use our Services. Paid usage, such as AI model usage and cloud sandboxes, is charged against your organization's prepaid balance at the rates shown in your Order Form or on your organization's billing page. When the balance runs out, paid usage stops until the balance is topped up. If you turn on automatic top-up, you authorize us and our payment processor to charge the saved payment method the amount you choose whenever the balance falls below the threshold you set, until you turn it off. You must provide complete and accurate billing information, and you agree that we may charge your Payment Method for any applicable fees and taxes. Except as expressly provided in these Terms or where required by law, all payments are non-refundable.

Either party may disclose Confidential Information to the other party. The Receiving Party shall not use any Confidential Information of the Disclosing Party for any purpose outside the performance or receipt of the Services, and shall not disclose it except to employees and agents who have a need to know.

9.1 Ownership: OneWorld AI owns all right, title, and interest in and to the Services and OneWorld AI IP. No rights are granted except as expressly stated in this Agreement.

9.2 Feedback: You hereby assign to OneWorld AI all right, title, and interest in any Feedback you provide regarding the OneWorld AI IP, and OneWorld AI is free to use such Feedback for any purpose whatsoever without attribution or compensation.

You may stop using the Services at any time. We may suspend or terminate your access at any time without notice if we believe you have breached these Terms or to comply with law, and you will not be entitled to any refund in such a case. On termination your right to use the Services ends, and Customer Data is handled as described in our Privacy Policy. Sections that by their nature should survive termination, including Sections 4.1, 7 through 9, and 11 through 15, survive.

THE ONEWORLD AI IP, SERVICES, OUTPUTS, AND DOCUMENTS ARE PROVIDED "AS IS" AND ONEWORLD AI HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Features we identify as beta or preview are provided for evaluation and may change or be withdrawn at any time.

OneWorld AI will indemnify you against Third-Party Claims that the Services infringe third-party intellectual property rights. You will indemnify OneWorld AI against claims arising from your Customer Data or unauthorized use of the Services.

IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. EITHER PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNTS PAID TO ONEWORLD AI UNDER THIS AGREEMENT IN THE SIX MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

In the event a dispute arises out of these Terms, it will be resolved by binding arbitration rather than in court. The arbitration will be conducted in English in Delaware, USA. By agreeing to mandatory arbitration, you and OneWorld AI knowingly and irrevocably waive any right to trial by jury.

Changes: OneWorld AI may update these Terms by providing reasonable notice. We will post updated Terms on this page and change the Last updated date. When a change is material, we will ask you to agree to the updated Terms in the Services; otherwise, continued use of the Services constitutes acceptance of the updated terms.

Assignment: You may not assign this Agreement without our written consent, except to a successor of your business.

Export controls: You must comply with applicable export control and sanctions laws and may not use the Services in or for the benefit of a sanctioned country or person.

Entire agreement: This Agreement is the entire agreement between you and OneWorld AI about the Services. If any provision is unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver.
